There is more detail in the Circular document but in summary, if approved, LondonMetric will acquire CTPT in full. In exchange, CTPT shareholders be issued with new LondonMetric shares (0.455 shares for each CTPT share held).

The key dates in the timeline are:
20 June 2023 | Letters sent to shareholders (including those held in CT Savings Plans) |
11 July 2023 | Completed Forms of Directions need to be received from CT Savings Planholders who want to vote. |
18 July 2023 | Court Meeting and CTPT General Meeting to vote on the Scheme |
7 August 2023 | Expected Guernsey Court Sanction meeting |
8 August 2023 | Expected Effective Date of the Scheme |
All resolutions were duly passed with over 98% support from shareholders who voted on each resolution.
The 30 June 2023 dividend will be paid to eligible CTPT shareholders as normal. This will be paid out/reinvested to CT Savings Plan holders in accordance with the instruction on your plan.
If the Scheme is approved, this will be the last dividend paid by CTPT.
Future dividends paid on any LondonMetric would not be reinvested but the cash would be held on your CT Savings Plan until we receive further instruction from you.
All resolutions were duly passed at the Meetings on 18 July 2023. We’ll update this page once we know the result of the Guernsey Court sanction hearing
If the Scheme is approved, your shares will automatically be converted into LondonMetric shares. You’ll see these if you log into your account online or in your regular quarterly valuation statements.
Since LondonMetric is not an investment option in the CT Savings Plan, they can’t be held in the CT Savings Plans for more than 3 months from the Effective Date. We’ll write to you shortly after the Effective Date to confirm the options and timeframes to remove the shares from your account. LondonMetric do not have an equivalent Savings Plan.
The details of the Options (including the timescales and default option if plan holders do not reply) are still be finalised. These Options depend on the type of Savings Plan that you hold.
Yes – you can still buy or sell CTPT shares in line with the normal terms and conditions of your Savings Plan.
The last dealing day in CTPT through the Savings Plans will be 2 August 2023 (with the trade settling on 4 August – the Business Day prior to the Court Hearing).
This means that the last date to receive instructions to buy or sell CTPT shares will be 1 August 2023 (31 July 2023 if you are switching into CTPT).
Instructions received after this date will be rejected.
It will not be possible to buy additional LondonMetric shares within the CT Savings Plans. You will, however, be able to sell your shares or transfer them out of your Plan.
